AEI Visitor Agreement
This agreement is made by and between Analytical Engineering, Inc., (hereafter “AEI”), a business having a principal place of business at 2555 Technology Blvd., Columbus, Indiana 47201 and VISITOR. WHEREAS, VISITOR will be in an AEI facility (2555 Technology Blvd. and/or 983 S. Marr Rd.), VISITOR agrees to the following TERMS: TERMS: 1. VISITOR acknowledges that much of the work at AEI is confidential. VISITOR agrees to only enter those locations to which VISITOR has been authorized and agrees to not enter any restricted access areas. Any knowledge gained about AEI work or research is to be treated as confidential, unless otherwise agreed to in writing. This means that VISITOR will not disclose, either verbally or in writing, any of the work at AEI to any third party. 2. Notwithstanding and other provisions of the AGREEMENT, VISITOR’S obligations under this AGREEMENT with respect to any portion of AEI’s PROPRIETARY INFORMATION shall terminate when VISITOR can provide to AEI that: (a) such a portion was in the public domain at the time it was communicated to the VISITOR; (b) such portion lawfully entered the public domain subsequent to the time it was communicated to the VISITOR through no fault of the VISITOR; (c) such portion was lawfully in the VISITOR’s possession free of any obligation of confidence at the time it was communicated to the VISITOR; (d) such portion was lawfully communicated to the VISITOR free of any obligation of confidence subsequent to the time it was communicated to the VISITOR; or (e) such portion is required to be disclosed pursuant to a valid order of a court or similar judicial or administrative body; provided, however, that the VISITOR shall give AEI advance written notice of such requirement and shall cooperate with AEI in the obtaining of a protective order regarding such production. 3. VISITOR agrees to follow all AEI safety rules of which VISITOR has been advised by AEI. 4. VISITOR agrees to only use equipment that VISITOR has been properly trained in the usage therof. 5. VISITOR acknowledges that work at AEI may be dangerous and could result in injury. VISITOR assumes full responsibility for VISITOR’s own actions and personal safety, and releases AEI from all liability resulting from those actions, including any injury that may occur while VISITOR is on the AEI premises or while VISITOR is using AEI property. 6. In the event that VISITOR utilizes any AEI equipment, VISITOR agrees to assume file financial responsibility and agrees to repair or pay for any and all damages, excluding normal wear and tear, to AEI equipment or facilities that may occur as a result from such use, restoring such items to their state prior to damage occurrence in a timely manner such that any delays in conducting business at AEI will be minimized to the fullest extent possible. 7. VISITOR agrees to leave all equipment and facilities in good, clean, working order after each use. 8. This agreement shall be governed by the laws of the State of Indiana.
